Dr. Ulrich Eder is a German lawyer (Rechtsanwalt) and Certified Tax Advisor (Steuerberater).  He is admitted to practice before the Higher Regional Court of Düsseldorf (Oberlandesgericht Düsseldorf) and is a member of the Düsseldorf Bar Association.

Dr. Eder studied German law at Friedrich-Alexander-Universität in Erlangen, Bavaria and Westfälische-Wilhelms-Universität in Münster, North-Rhine Westphalia. He received his PhD in Law (Dr. jur.) in 1990 from the Westfälische-Wilhelms-Universität in Münster.

In 1989 Dr. Eder began his career at KPMG Peat Marwick in Düsseldorf, Germany where he acted as tax manager in the practice areas of national and international tax counseling, tax structuring, corporate restructuring, management and negotiation of industrial settlements, especially for Japanese banks and companies.

In 1994 he joined the law firm Orrick Hölters & Elsing in Düsseldorf where he gained further experience in the legal and tax aspects of domestic and cross-border M&A transactions, international tax structuring and cross-border business relocation and privatization of federal and state government agencies.

From 1996 to 1998 Dr. Eder served as a tax advisor at an affiliate of Pricewaterhouse Coopers Germany focusing on municipal taxation issues, privatization and restructuring, municipal leasing and cross-border leasing.

In 1998 he founded his own boutique tax consultancy firm and advised in the areas of cross-border leasing, project financing, BOT models, public-private partnerships, non-recourse financing and other types of municipal and governmental finance. This included preparation and monitoring of detailed and extensive risk-management systems for the controlling and monitoring of long-term financial transactions.

He moved to Thailand in 2007 to join the Bangkok office of Roedl & Partner where he assisted various European and other overseas investors by providing legal and tax advice on all aspects of direct investments in South East Asia.  His practice at Roedl also included formation of corporations, representative offices and other permanent establishments in Thailand, BOI applications, as well as the negotiation of lump-sum turn key and joint venture agreements.

Dr. Eder joined Mulvana, de Angeli in December 2009. His practice encompasses following four principal areas, in which he has in-depth knowledge and extensive experience:

  • legal and tax aspects of outbound investments in (South East) Asia in the form of a corporation or a joint-venture

  • international tax structuring for corporations and individuals in high tax jurisdictions including the utilization of offshore entities

  • complex project and corporate financings of high-volume infrastructure and real estate transactions

  • cross-border acquisitions, privatizations and public-private partnerships, including management of public tender procedures and bidding strategies

During his over twenty years of continuous professional experience, Dr. Eder has represented various public sector and corporate clients in some of the largest and most complex domestic and cross-border financings in Germany and the United States. He is extremely familiar with a wide range of financial, accounting, tax and legal issues that arise in international big-ticket transactions and has been actively involved in all aspects of structuring, negotiating and documenting these transactions.  He has played a critical and creative role in the development of corporate and project financings, leasing transactions, BOT models, privatizations and securitizations and public private partnership transactions, in which he acted as a German tax counsel as well as special counsel and advisor to various governmental agencies.  This consulting activity involved rolling stock, waste water facilities and waste water networks, real estate, waste incineration plants and rail infrastructure systems with a transaction volume of more than 12 billion Euros.

He is a regular speaker at national and international conferences and professional seminars and frequently publishs articles and essays addressing various legal, tax and financial issues.
